MASTER SERVICE AGREEMENT (TERMS OF SERVICE)
Effective Date: Date of digital acceptance / plan selection
Service Provider: Web Wonder Works LLP (LLPIN: ACI-7034), Coimbatore, Tamil Nadu, India
Client: Any individual or entity digitally accepting this Agreement
By accepting this Agreement, the Client confirms legal authority to bind the business and agrees to all terms herein.
1. AGREEMENT STRUCTURE
This Master Service Agreement (“Agreement”) governs all services provided by Web Wonder Works LLP (“WWW”, “Service Provider”, “We”, “Us”, “Our”) to the Client (“Client”, “You”, “Your”).
Specific deliverables, limits, pricing, platforms, and service volumes are defined exclusively by the selected Plan at the time of acceptance. The available plans are:
- Starter Plan – Best for small businesses just starting up and need to maintain a professional look
- Growth Plan – Best for businesses ready to capture leads and improve local rankings
- Dominance Plan – Best for aggressive scaling, high-ROI goals, and beating competitors
- Authority Plan – Best for businesses ready to become the go-to brand in their industry
- Monopoly Plan – Best for businesses aiming to dominate their market and outpace all competitors
- Empire Plan – Best for enterprises and ambitious brands building a digital empire
Any service not explicitly listed in the selected Plan is out of scope unless agreed in writing. The Client acknowledges that higher-tier plans include more comprehensive services, and the scope of work is strictly limited to what is outlined in the selected plan.
2. SCOPE OF SERVICES
The Service Provider agrees to deliver the digital marketing services outlined in the Selected Plan.
Service Inclusions: As defined in the proposal for the selected plan (Starter, Growth, Dominance, Authority, Monopoly, or Empire) on any kind of services which the Client approaches Web Wonder Works for.
Platform Fees Excluded: The Service Fees cover professional management only. They do not include advertising budgets paid to third-party platforms (e.g., Google, Meta, LinkedIn, YouTube). The Client is responsible for paying all ad budgets directly to the platform or reimbursing the Service Provider in advance.
Third-Party or External Costs: Digital marketing packages do not include any third-party or external costs. All such costs are the sole responsibility of the Client. This includes but is not limited to: advertising spend, premium plugin licenses, stock image purchases, domain renewals, hosting fees, CDN subscription costs, influencer fees, and any other third-party service charges.
3. SERVICE SPECIFICATIONS AND LIMITATIONS
3.1 Service Delivery
The Service Provider will deliver digital marketing services strictly as outlined in the selected Plan, including but not limited to:
- Research & Analysis
- Social Media Management
- Ads Management (Meta, Google, LinkedIn, YouTube as per plan)
- Website SEO (On-Page)
- Google Map SEO (Local SEO)
- Social Media SEO
- WordPress Maintenance
- Design Services (Bonus)
- Guest Posts/Backlinks (Growth Plan and above)
- Schema Markup Implementation (Authority Plan and above)
- International SEO (Empire Plan only, if applicable)
- YouTube Management (Monopoly and Empire Plans)
- Influencer Identification (Monopoly and Empire Plans)
- Crisis Management Advisory (Monopoly and Empire Plans)
- Social Listening & Sentiment Analysis (Higher-tier plans as specified)
- Local Citation Building (Authority Plan and above)
3.2 Animated Videos Disclaimer
- Animated videos are simple supplementary creatives, typically under 10 seconds.
- These are not professional voice-over videos, cinematic ads, or high-budget production.
- They are intended only to support social media posts, not replace full-scale advertising creatives.
- The number of animated videos per month is strictly as specified in the selected plan.
- Additional animated videos beyond the plan allocation will be quoted separately.
3.3 Design Quality Disclaimer
- Graphic designs are not high-end vector or enterprise branding assets.
- Designs are suitable for small to medium-scale businesses.
- Logo Design is a one-time deliverable executed in Month 1 only. It is not a recurring monthly service.
- The number of logo concepts provided depends on the selected plan (1-3 concepts as specified).
- WWW does not conduct trademark or copyright verification.
- Client is fully responsible for ensuring logo, brand name, and visuals do not violate third-party rights.
- Client is solely responsible for ensuring intellectual property compliance.
- High-end branding (pure vector logos, typography systems, brand books) is not included unless separately contracted.
- Social media graphics are template-based custom designs suitable for digital use.
3.4 Content and Media
- The Client must provide real photos and videos for use in digital marketing campaigns.
- The Client is solely responsible for ensuring they hold the necessary copyrights and permissions to use these materials in digital media.
- The Service Provider assumes no liability for copyright infringement arising from Client-provided content.
- Stock images may be used where appropriate, but premium stock image purchases are the Client’s responsibility.
3.5 Blog Content
- For plans including SEO blogs, WWW retains full editorial discretion to select topics based on search volume and ranking potential.
- Once a post is written according to the agreed topic, requests for rewrites or topic changes are not permitted.
- Blog posts are created with the assistance of AI tools and are SEO-optimized for search engine visibility.
- Word counts specified in plans are approximate (±10% variance is acceptable).
- Word counts refer to published content only, not including meta descriptions, schema markup, or other technical elements.
- Images included in blog posts are limited to relevant stock images or Client-provided images.
- Blog post frequency and word counts per plan are as follows:
- Starter Plan: No blog posts included
- Growth Plan: 1 SEO-Optimized Blog Post (600 words) per month
- Dominance Plan: 2 Long-Form Blog Posts (1000 words each) per month
- Authority Plan: 4 Blog Posts (1000 words each) per month
- Monopoly Plan: 5 Blog Posts (1000 words each) per month
- Empire Plan: 6 Blog Posts (2000 words each) per month
3.6 Guest Posts and Backlinks
For plans that include guest posts and backlink building (Dominance Plan and above), the following terms apply:
- WWW will acquire backlinks from third-party websites based on availability and industry relevance.
- WWW does not guarantee the permanence of backlinks, as third-party websites may remove or modify content at their discretion without notice to WWW.
- WWW is not responsible for any penalties, ranking drops, or negative SEO impact if third-party websites hosting backlinks are later flagged, penalized, or deindexed by search engines.
- The quality of backlinks is based on availability, industry standards, and domain authority at the time of acquisition.
- WWW employs white-hat link building strategies only and does not engage in link schemes or paid link farms.
- Backlink quantities per plan are as follows:
- Dominance Plan: 2-3 High-Quality Guest Posts/Backlinks per month
- Authority Plan: 4-6 Quality Backlinks per month
- Monopoly Plan: 6-8 Quality Backlinks per month
- Empire Plan: 8-10 Quality Backlinks per month
3.7 Schema Markup Implementation
For plans that include schema markup implementation (Authority Plan and above):
- Schema markup implementation is dependent on the Client’s website platform capabilities and technical structure.
- WWW will implement appropriate schema types based on the Client’s business type and content.
- Rich results, featured snippets, and enhanced search appearances are not guaranteed, as these are controlled entirely by search engines.
- Schema implementation may be limited on static HTML websites or websites built by restrictive third-party vendors.
3.8 International SEO
For the Empire Plan, international SEO setup is available if applicable to the Client’s business:
- International SEO requires the Client to specify target countries and languages in advance.
- Hreflang tag implementation depends on the website platform’s capabilities and may be limited on certain platforms.
- Translation services are NOT included in any plan. The Client is responsible for providing translated content or arranging translation services separately.
- International SEO results vary significantly based on competition, market conditions, and search engine support in target regions.
3.9 YouTube Management
For plans that include YouTube as a managed platform (Monopoly and Empire Plans):
- The Client must have an existing YouTube channel or authorize WWW to create one on their behalf.
- The Client is solely responsible for ensuring all uploaded content complies with YouTube’s Community Guidelines, Terms of Service, and copyright policies.
- WWW is not liable for copyright strikes, content claims, channel warnings, or channel termination resulting from content approved by the Client or content that violates YouTube’s policies.
- YouTube monetization setup, management, and revenue are not included unless explicitly specified in a separate agreement.
- Video production for YouTube is limited to simple animated videos as specified in the plan. Professional video production, filming, voice-overs, and cinematic content are not included.
- The Client is responsible for providing raw video footage if professional-quality videos are desired.
3.10 Influencer Identification
For plans that include influencer identification (Monopoly and Empire Plans):
- WWW will identify 1-3 potential influencers relevant to the Client’s industry and target audience.
- Influencer identification includes research and recommendations only.
- All negotiations, contracting, agreements, and relationship management with influencers are the sole responsibility of the Client.
- Influencer fees, payments, gifting, and any other compensation are 100% the Client’s expense and are not included in the plan pricing.
- WWW does not guarantee influencer availability, response, acceptance, or willingness to collaborate.
- WWW is not responsible for the actions, content, or conduct of any influencer the Client chooses to engage.
3.11 Crisis Management Advisory
For plans that include crisis management (Monopoly and Empire Plans):
- WWW provides advisory support and strategic recommendations for managing social media or online reputation crises.
- Implementation of crisis response strategies, public statements, and communication is the sole responsibility of the Client.
- WWW is not liable for reputation damage, business impact, financial losses, or any other consequences arising from online crises, regardless of whether WWW’s advice was followed.
- Crisis management advisory does not include legal advice, and the Client should consult legal professionals for matters involving defamation, legal threats, or regulatory issues.
3.12 Social Listening and Sentiment Analysis
For plans that include social listening and sentiment analysis features:
- These services rely on third-party tools and platforms for data collection and analysis.
- The accuracy, completeness, and reliability of social listening data are dependent on these third-party tools and are not guaranteed by WWW.
- WWW provides actionable insights and recommendations based on available data.
- Implementation of strategies based on social listening insights is the Client’s responsibility.
- Social listening does not capture all mentions, particularly from private accounts, closed groups, or platforms not supported by the monitoring tools.
3.13 Local Citation Building
For plans that include local citation building (Authority Plan and above):
- Citations are submitted to third-party directories and platforms.
- Approval, publication, and live status of citations depend entirely on the third-party directories and are not controlled by WWW.
- WWW is not responsible for directories that become inactive, remove listings, or cease operations.
- Duplicate citation cleanup is not included unless explicitly specified in the plan or agreed in writing.
- Citation quantities per plan are as follows:
- Authority Plan: 2 citations per month
- Monopoly Plan: 4 citations per month
- Empire Plan: 6 citations per month
- Multi-location GMB management is available for Authority Plan and above, with the following limits:
- Authority Plan: Up to 2 locations
- Monopoly Plan and above: As specified in the plan or agreed in writing
- Additional locations beyond plan limits will incur extra charges to be quoted separately.
- The Client is responsible for verification of all Google My Business locations.
3.14 Third-Party Websites and Technical Limitations
- If the Client’s website is built on static HTML or by a restrictive third-party vendor, WWW can only perform partial SEO optimization limited by the site’s technical structure.
- WWW is not responsible for ranking limitations caused by the underlying code, hosting environment, or technical restrictions.
- Some services such as schema markup, advanced speed optimization, and certain SEO implementations may not be possible on all website platforms.
4. ADVERTISING & THIRD-PARTY COSTS
4.1 Ad Budget
- Plan pricing is strictly for professional management fees.
- Advertising budget is NOT included in any plan pricing. All ad spend is paid directly by the Client to the relevant advertising platforms (such as Meta, Google Ads, LinkedIn Ads, YouTube Ads, and similar platforms).
- Advertising services are optional. However, paid advertising is highly recommended for achieving quick and immediate results while organic growth strategies are implemented, as organic methods require time to yield results.
- All advertising payments are made directly by the Client to the respective platforms. The Service Provider does not collect or manage ad budgets on behalf of the Client unless explicitly agreed upon in writing.
4.2 Recommended Minimum Ad Budgets
WWW recommends the following minimum monthly advertising budgets for optimal campaign performance:
- Starter Plan: Client’s discretion (Boost Post/Brand Awareness only)
- Growth Plan: Minimum ₹10,000 per month recommended
- Dominance Plan: Minimum ₹30,000 per month recommended
- Authority Plan: Minimum ₹50,000 per month recommended
- Monopoly Plan: Minimum ₹75,000 per month recommended
- Empire Plan: Minimum ₹1,00,000 (1 Lakh) per month recommended
The Client acknowledges that:
- These are recommendations for optimal results based on industry standards and platform requirements.
- The Client may choose lower budgets, but results may be limited, less effective, or slower to materialize.
- WWW reserves the right to decline management of advertising campaigns with budgets significantly below recommended minimums, as such campaigns may not yield meaningful results.
- Budget changes require a minimum of 7 days advance notice to allow for campaign adjustments.
- Sudden budget reductions may impact ongoing campaign performance and optimization strategies.
4.3 Google Ads Management
For plans that include Google Ads management (Authority Plan and above):
- The Google Ads account must be owned by the Client. WWW will request appropriate access levels to manage campaigns.
- The Client is responsible for maintaining a valid payment method on their Google Ads account.
- Ad disapprovals by Google due to policy violations, landing page issues, or content restrictions are not WWW’s liability, though WWW will assist in resolving such issues where possible.
- Google’s policy changes, algorithm updates, or platform modifications affecting campaign performance are outside WWW’s control.
- The Client is responsible for ensuring their website, landing pages, and business practices comply with Google Ads policies.
- WWW will set up and manage Search and Display campaigns as specified in the plan.
4.4 LinkedIn Ads Management
For plans that include LinkedIn Ads management (Monopoly and Empire Plans):
- The Client must have an appropriate LinkedIn Company Page to run LinkedIn advertising campaigns.
- LinkedIn has stricter ad approval processes compared to other platforms, which may result in longer approval times or ad rejections.
- WWW is not responsible for delays caused by LinkedIn’s review process.
- LinkedIn advertising typically has higher costs per click and per impression compared to other platforms; the Client acknowledges this when allocating budget.
- The Client is responsible for ensuring their business and offerings comply with LinkedIn’s advertising policies.
4.5 YouTube Ads Management
For plans that include YouTube Ads management (Empire Plan):
- YouTube Ads are managed through the Google Ads platform; therefore, all Google Ads terms in Section 4.3 apply.
- Video ad creatives must be provided by the Client or created within the scope of the plan’s video deliverables.
- Professional video ad production is not included unless separately contracted.
4.6 Ad Account Ownership and Access
- All advertising accounts (Google Ads, Meta Business Manager, LinkedIn Campaign Manager, etc.) should be created in and owned by the Client.
- WWW will request appropriate access levels (Partner access, Manager access, etc.) to manage campaigns on the Client’s behalf.
- Any advertising accounts created by WWW on the Client’s behalf will be transferred to the Client upon full payment and contract completion.
- The Client is responsible for maintaining account security and not sharing access credentials with unauthorized parties.
4.7 No Performance Guarantees
- WWW does not guarantee leads, sales, revenue, or ROI from advertising campaigns.
- Paid ads performance depends on multiple factors including but not limited to: Client’s business and market status, product/service quality and pricing, market conditions, allocated budget, competition, ad creative quality, landing page experience, and client-side conversion processes.
- The Client acknowledges that advertising results vary significantly across industries, locations, and market conditions.
5. SEARCH ENGINE OPTIMIZATION (SEO) TERMS
5.1 No Guarantee of Rankings
The Service Provider does not guarantee any specific search engine ranking positions. No service provider can guarantee rankings, as search engine algorithms are controlled by third parties and are subject to change without notice. Any company claiming to guarantee rankings is likely engaging in misleading practices.
5.2 Ranking Fluctuations
SEO rankings naturally fluctuate due to the inherent nature of search engine algorithms, competitor activities, and market conditions. Such fluctuations are normal and expected. The Client acknowledges that rankings may go up or down at any time due to factors outside WWW’s control.
5.3 Methodology
The Service Provider exclusively employs white-hat SEO techniques that comply with search engine guidelines. The Service Provider does not engage in negative SEO or black-hat SEO practices under any circumstances. This includes but is not limited to: no keyword stuffing, no hidden text, no cloaking, no link schemes, and no private blog networks (PBNs).
5.4 Variable Results
SEO results differ based on industry, geographic location, keyword competition, website condition, domain age, existing backlink profile, and numerous other factors. The timeline for achieving results varies accordingly. The Client acknowledges that SEO is not an exact science and results cannot be predicted with certainty.
5.5 Service Types
- Website SEO (On-Page SEO) improves organic search visibility on search engine results pages (SERPs).
- Google Map SEO (Local SEO) improves Google Business Profile visibility on Google Maps and local search results.
Website SEO and Map SEO (Local SEO) are distinct services with different methodologies, target areas, and outcomes. Both services may be included in plans but serve different purposes.
5.6 Timelines
SEO is a long-term strategy. Results vary significantly based on industry competitiveness, location, keywords, and starting point. Significant organic results typically require 5-8 months of consistent effort. The Client should not expect immediate results from SEO activities.
5.7 Website Optimization Limitations
When optimizing websites for SEO, if the existing website is built in static HTML or was developed by a third-party vendor, the Service Provider may only be able to perform partial optimization due to technical limitations, code structure, access restrictions, and how the site was originally developed.
5.8 SEO Blog Posts
Blog post topics are selected by the Service Provider based on strategic analysis of which topics will yield the best results for the Client, including search volume, keyword difficulty, and ranking potential. Once a blog post has been written and delivered, the Client cannot request a different topic as a replacement for that deliverable.
5.9 Client Actions
Any action taken by the Client without written approval from WWW that affects SEO, ads, website, or social media performance is 100% the Client’s responsibility. The Service Provider is not responsible for any positive or negative effects resulting from unauthorized Client actions. This includes but is not limited to: website changes, content modifications, plugin installations, hosting changes, domain changes, and redirect implementations.
5.10 Technical SEO Audits
For plans that include technical SEO audits:
- Authority Plan: Quarterly technical SEO audit
- Monopoly Plan: Monthly technical SEO audit
- Empire Plan: Weekly SEO performance monitoring
Technical SEO audits identify issues but resolution may require additional development work or third-party assistance depending on the website platform and hosting environment.
6. SOCIAL MEDIA AND PLATFORM ACCESS
6.1 Access Arrangements
Access arrangements to social media pages and Google My Business listings will be discussed and finalized between Web Wonder Works and the Client according to mutual agreement. The level of access required depends on the services included in the selected plan.
6.2 Payment-Conditional Access
If the Client is not paying 100% upfront, admin-level access to social media pages and Google My Business will not be shared with the Client until full payment is received.
6.3 Alternative Posting Arrangement
If the Client does not have access to their social media pages or prefers not to manage posting, the Client may share content with Web Wonder Works, and WWW will post on their behalf according to the content calendar and plan specifications.
6.4 Unauthorized Actions
Any actions taken by the Client on social media pages or Google My Business listings without prior approval from Web Wonder Works are the sole responsibility of the Client. The Service Provider is not responsible for any positive or negative effects resulting from such unauthorized actions, including but not limited to: posting content, deleting content, changing page settings, responding to comments or messages, or modifying business information.
6.5 Platform Account Ownership
- Social media accounts created by the Client remain the Client’s property at all times.
- Advertising accounts (Google Ads, Meta Business Manager, LinkedIn Campaign Manager) should be in the Client’s name and ownership.
- Any accounts created by WWW on the Client’s behalf will be transferred to the Client upon full payment and successful completion or termination of the contract.
- The Client is responsible for maintaining login credentials and account security.
- WWW recommends the Client maintain independent access to all their accounts at all times.
6.6 Comment and Community Management
The level of comment and community management support varies by plan:
- Starter Plan: Client is responsible for replying to all comments on their social media pages. WWW does not provide comment management.
- Growth Plan: WWW provides basic reply support to comments during business hours with the help and guidance of the Client. This includes standard acknowledgment responses and directing inquiries to the Client.
- Dominance, Authority, Monopoly, and Empire Plans: WWW provides proactive community management with lead identification, with the help and guidance of the Client.
For all plans, the following applies:
- WWW will not handle legal disputes, refund requests, complaints requiring business decisions, or matters requiring specific business knowledge without Client input.
- The Client must provide FAQ documents, standard response guidelines, and business information to enable effective community management.
- Response times for community management are during business hours only (as specified in Section 12).
- Complex inquiries will be escalated to the Client for response.
- WWW is not responsible for negative comments, reviews, or public complaints posted by third parties.
7. WORDPRESS MAINTENANCE
7.1 Scope of WordPress Maintenance
WWW is responsible for basic WordPress maintenance as specified in the selected plan. WordPress maintenance services vary by plan and include the following:
Starter Plan:
- Monthly plugin and theme updates
- Basic firewall checking
Growth Plan:
- Monthly plugin and theme updates
- Basic firewall checking
- 24/7 Uptime Monitoring Alerts
- Up to 15 minutes of maintenance updates per month
Dominance Plan:
- Bi-weekly plugin and theme updates
- 24/7 Uptime Monitoring Alerts
- Up to 20 minutes of maintenance updates per month
- Advanced Speed Optimization (Core Web Vitals) – subject to hosting limitations
Authority Plan:
- Bi-weekly plugin and theme updates
- 24/7 Uptime Monitoring Alerts
- Bi-weekly backups with off-site storage
- CDN setup for faster loading
- Advanced Speed Optimization (Core Web Vitals) – subject to hosting limitations
- Up to 30 minutes of maintenance updates per month
Monopoly Plan:
- Bi-weekly plugin and theme updates
- 24/7 Uptime Monitoring Alerts
- Weekly backups with off-site storage
- CDN setup for faster loading
- Advanced Speed Optimization (Core Web Vitals) – subject to hosting limitations
- Up to 45 minutes of maintenance updates per month
Empire Plan:
- Weekly plugin and theme updates
- 24/7 Uptime Monitoring Alerts
- Weekly backups with off-site storage
- CDN setup for faster loading
- Advanced Speed Optimization (Core Web Vitals) – subject to hosting limitations
- Up to 60 minutes of maintenance updates per month
7.2 Maintenance Time Limits
- Maintenance time limits are strictly as specified per plan.
- Time is calculated based on actual work performed by WWW team members.
- Unused maintenance time does not roll over to subsequent months.
- Requests exceeding the monthly time allocation will be quoted separately at WWW’s standard hourly rates.
- The Client will be notified when maintenance time is approaching the limit for that month.
7.3 Backup Terms
For plans that include backups:
- Backups are performed on a best-effort basis using reliable third-party tools and services.
- WWW is not liable for data loss due to backup failures, corrupted backups, or circumstances beyond our control.
- The Client is strongly advised to maintain independent backups of their website through their hosting provider or other means.
- Backup retention period is 30 days unless otherwise specified.
- Backup restoration requests are counted against the monthly maintenance time allocation.
- Off-site backup storage is dependent on third-party cloud storage services.
7.4 CDN and Speed Optimization
For plans that include CDN setup and speed optimization:
- CDN (Content Delivery Network) setup uses third-party services such as Cloudflare or similar providers.
- Basic CDN setup is included; premium CDN features or paid CDN plans are the Client’s additional expense.
- Speed optimization results depend significantly on the Client’s hosting provider quality, server resources, and website structure.
- WWW is not liable for speed limitations caused by inadequate hosting, poorly coded themes/plugins, or excessive third-party scripts.
- Core Web Vitals optimization is performed within the constraints of the existing website architecture.
- Some speed improvements may require hosting upgrades or website restructuring, which are outside the scope of included maintenance.
7.5 Plugin and Theme Updates
- WWW performs plugin and theme updates as specified in the plan frequency.
- Updates are tested on staging environments where possible before applying to live sites.
- WWW is not liable for issues caused by plugin/theme updates that introduce bugs or compatibility problems from the plugin/theme developers.
- Plugin/theme conflicts or issues arising after updates are addressed within the allocated maintenance time only.
- If updates cause significant issues requiring extensive troubleshooting beyond the maintenance time allocation, additional charges may apply.
- WWW reserves the right to delay updates that are known to have compatibility issues until stable versions are available.
7.6 Uptime Monitoring
For plans that include 24/7 uptime monitoring:
- WWW will set up third-party uptime monitoring that provides alerts to the Client if their website experiences downtime.
- The service validity, reliability, and accuracy of these alerts are dependent on the third-party monitoring tool used.
- Web Wonder Works is not responsible for any failures, inaccuracies, or limitations of the third-party monitoring service.
- Uptime monitoring alerts the Client to issues; resolution of hosting or server issues is the responsibility of the Client’s hosting provider.
- WWW can assist in communicating with hosting providers within the allocated maintenance time.
7.7 Excluded from WordPress Maintenance
The following are NOT included in WordPress maintenance unless separately agreed:
- Website redesigns or major layout changes
- New page creation or significant content additions
- E-commerce setup, product additions, or payment gateway configuration
- Custom development or coding
- Security breach remediation (emergency security services quoted separately)
- Malware removal (quoted separately based on severity)
- Hosting migration
- Domain transfers or DNS management
- Email setup or troubleshooting
- Third-party integration development
8. FAIR USAGE POLICY
8.1 Definition of Fair Usage
Certain plan inclusions are subject to a fair usage policy to ensure sustainable service delivery. Fair usage applies to:

8.2 Small Text/Image Changes
For plans that include small text/image changes (Dominance Plan and above):
- “Small changes” are defined as: text edits of 100 words or fewer per request, image swaps using existing or Client-provided images, minor formatting adjustments, and contact information updates.
- Small changes do NOT include: new page creation, section additions, layout modifications, design changes, functionality changes, or content requiring research and writing.
- A maximum of 4 small change requests per month is considered fair usage.
- Requests beyond fair usage will be quoted separately or deducted from maintenance time allocation.
- WWW reserves the right to define the scope of fair usage on a case-by-case basis.
8.3 Design Revisions
- Each design deliverable (social media posts, graphics, etc.) includes up to 2 rounds of revisions.
- Revisions must be submitted within 48 hours of receiving the initial design.
- Revision requests beyond 2 rounds may be accommodated within reason but are subject to fair usage assessment.
- Complete redesigns or changes to the approved creative direction are not considered revisions and will be quoted separately.
8.4 Support Communication
- The Client is expected to consolidate feedback and requests through their designated point of contact.
- Excessive communication that significantly impacts WWW’s ability to deliver services may be addressed and streamlined.
- WWW reserves the right to implement communication protocols if necessary to ensure efficient service delivery.
9. REPORTING AND COMMUNICATION
9.1 Reporting Frequency and Format
WWW provides regular reporting to keep the Client informed of progress and performance:
- Performance Reports: Comprehensive reports covering all active services, key performance metrics, and insights. The reports frequency and type of reports will different based on clients selected plans and based on Web Wonder Works decision which type of report will best for clients.
- Bi-Weekly Task Updates: Updates on tasks completed and work in progress, delivered every two weeks.
9.2 Report Contents
Reports may include (as applicable to the selected plan):
- Social media performance metrics (reach, engagement, follower growth)
- Website traffic and SEO performance (rankings, organic traffic, keyword positions)
- Google My Business insights (views, searches, actions)
- Advertising campaign performance (impressions, clicks, conversions, spend)
- Content published during the reporting period
- Backlinks acquired (for applicable plans)
- Key observations and recommendations
9.3 Report Delivery
- Reports are delivered via email to the Client’s designated point of contact.
- Reports are delivered within the first 10 days of each month for the previous month’s performance.
- Bi-weekly updates are delivered via email or WhatsApp as preferred by the Client.
- Weekly reports and Bi-weekly reports are based on each plan’s selection.
9.4 Report Limitations
- Reports are informational and intended to provide transparency on work performed and results achieved.
- WWW does not guarantee the accuracy of third-party analytics data (Google Analytics, Meta Insights, etc.) as these are controlled by the respective platforms.
- Interpretation of data and strategic recommendations are based on WWW’s professional judgment.
- Custom report requests or additional reporting beyond the standard scope may incur additional fees.
9.5 Meetings and Calls
- A monthly review call or meeting may be scheduled upon request to discuss performance and strategy.
- Additional meetings beyond one per month may be scheduled based on availability and plan requirements.
- Meeting scheduling is subject to WWW’s business hours and team availability.
10. FINANCIAL TERMS
10.1 Pricing and Taxes
All prices listed in WWW’s proposals and plan documents are exclusive of GST. Goods and Services Tax (GST) at the applicable rate of 18% will be charged additionally on all invoices. The Client is responsible for paying the service fee plus applicable GST.
Example: If a plan is priced at ₹24,500, the total payable amount will be ₹24,500 + ₹4,410 (18% GST) = ₹28,910.
10.2 Payment Schedule
Service fees are payable 100% upfront before work commences for monthly plans.
10.3 Split Payment Option
Split payment arrangements are accepted only under the following circumstances:
- For Annual Plans paid upfront: Split payment may be approved for annual plan payments.
- Special Circumstances: Split payment may be approved at WWW’s sole discretion for specific situations.
- The total subscription or the package price is above 5 lakhs.
Written approval from Web Wonder Works is required for all split payment arrangements.
If split payment is approved, the following conditions apply:
- Split payment procedure will work under the 60%-40% rule: 60% on the agreement date and 40% on or before the end of the 30th day from the agreement date for monthly packages.
- The Client must pay the remaining balance before the current invoice term ends for work to continue.
- If the remaining payment is not received by the term end date, all work and social media activities will be placed on hold.
- If the Client opts for split payment, no admin-level access to social media pages or Google My Business listings will be shared with the Client until the full balance is cleared.
10.4 Recurring Billing
For monthly retainers, invoices must be cleared within the invoice term of each month. Invoices are generated in advance for the upcoming service period.
10.5 Late Fees
- The Client has a maximum of 5 days from the due date to pay any outstanding fee.
- If payment remains outstanding after 5 days, a 5% mark-up will be added for every subsequent 5-day period of delay.
- If the payment is not cleared within 15 days from the due date, the automatic separation process will be initiated under this agreement, and all services will be suspended.
- Late fees are cumulative: Day 6-10 = 5% markup, Day 11-15 = 10% markup, Day 16+ = Separation process initiated.
10.6 No Refunds
Due to the creative nature of the work and time invested, all payments made are non-refundable. This applies to:
- Monthly plan payments
- Annual plan payments (subject to early termination provisions in Section 11)
- Setup fees
- Any advance payments
The Client acknowledges that creative work, strategy development, and service setup require significant time and resource investment that cannot be recovered.
11. TERM AND TERMINATION
11.1 Trial Period (Month 1)
The first month of service is designated as a mutual “Trial Period.” During this month, both the Service Provider and the Client may evaluate the partnership fit. Either party may terminate the agreement effective at the end of Month 1 without penalty, provided written notice is given before the next billing cycle begins.
11.2 Minimum Commitment (Post-Trial)
If the service continues into the second month, the Client agrees to a mandatory Minimum Commitment Period. The commitment period is:
- Monthly Plans: 3 months or 6 months minimum commitment (as selected at signup)
- Annual Plans: 12 months commitment
This lock-in is required to ensure the execution of planned long-term digital marketing strategies. SEO and organic growth strategies require consistent effort over time to yield results.
11.3 Monthly Plan – Early Termination
If the Client forces early termination of a Monthly Plan during the 3 or 6 months commitment period, the Client acts in breach of contract and is liable to pay an Early Termination Fee equal to 20% of the fees for the remaining months of the commitment term. This clause is applicable to balance the loss of online purchase tools procured for the Client by the Service Provider.
Example: If a Client on a 6-month commitment (₹24,500/month) terminates after Month 3, the remaining commitment is 3 months. Early Termination Fee = 20% × (₹24,500 × 3) = ₹14,700.
11.4 Annual Plan – Early Termination
For Annual Plans, if the Client requests termination prior to the end of the year, the refund will be calculated on a pro-rata basis for the unused months, minus a 10% Early Termination Fee on the total annual contract value.
11.5 Standard Cancellation
After the completion of the Minimum Commitment period, the agreement converts to a month-to-month basis. The Client may cancel at any time with 30 days’ written notice. No early termination fees apply after the commitment period is fulfilled.
11.6 Service Pause/Hold
Due to the calendar-month nature of digital marketing services, services continue on a calendar month basis by default.
Service pause or hold may be considered under the following conditions:
- The Client must submit a written request for service pause to WWW.
- Service pause is granted only upon explicit written approval from Web Wonder Works.
- WWW reserves the sole discretion to approve or deny pause requests based on operational considerations.
- If approved, the pause period, terms, and resumption date will be specified in writing.
- Paused periods do not count toward the minimum commitment period; the commitment period will be extended accordingly.
- Maximum pause duration is typically 1 month; extended pauses may require contract renegotiation.
- Monthly fees may or may not apply during the pause period, as determined by WWW at the time of approval.
If a pause request is not approved, services will continue as scheduled, and the Client remains responsible for the agreed fees.
11.7 Termination by Service Provider
WWW reserves the right to terminate this agreement with 15 days written notice if:
- The Client fails to provide necessary access, content, or approvals required for service delivery.
- The Client’s business is found to be involved in illegal activities.
- The Client repeatedly violates the terms of this agreement.
- The Client’s conduct makes continued service delivery untenable.
In such cases, the Client will be invoiced for work completed up to the termination date.
12. CLIENT RESPONSIBILITIES
To ensure campaign success and proper service delivery, the Client agrees to the following:
12.1 Access Provision
Provide administrative access to necessary social media accounts, website backends, and Google Business Profiles within 48 hours of signing, subject to Section 6 (Social Media and Platform Access). Delays in providing access may delay the commencement of services.
12.2 Content Approvals
Respond to content approval requests within 48 hours. Failure to respond within 48 hours may result in:
- Auto-posting of content as submitted (for time-sensitive social media posts)
- Production delays affecting the monthly deliverable schedule
- The deliverable being marked as complete for that period
12.3 Point of Contact
Designate a single decision-maker to consolidate feedback and approvals. This person should have the authority to approve content, make decisions on behalf of the business, and provide timely responses. Conflicting feedback from multiple stakeholders may cause delays.
12.4 Business Information
The Client must provide accurate business information, make timely decisions, and provide on-time approvals for all content and campaigns. Inaccurate information provided by the Client that results in errors is not WWW’s responsibility.
12.5 Social Media Engagement
The Client is responsible for answering business-specific questions, comments, or inquiries received on their social media pages that require business knowledge or decisions. If the Client does not know how to manage such engagement, Web Wonder Works will provide instructions and guidance, which the Client must follow and implement.
12.6 Business Operations
The Client is responsible for the proper nature and conduct of their business. The Client is responsible for running and managing their business properly, including product/service quality, customer service, pricing, and fulfillment. The Service Provider’s role is to generate leads and visibility; the Client is responsible for converting leads into customers.
12.7 Media Provision
The Client must provide real photos and videos for use in digital marketing efforts and is solely responsible for holding appropriate copyrights and permissions for such materials. Delays in providing media may affect content production schedules.
12.8 Ad Account Funding
The Client is responsible for maintaining adequate funds in their advertising accounts to ensure campaigns run without interruption. WWW is not responsible for campaigns pausing due to insufficient funds or payment method issues on the Client’s ad accounts.
12.9 Compliance with Platform Policies
The Client is responsible for ensuring their business, products, services, and website comply with the policies of advertising platforms (Google, Meta, LinkedIn, etc.). WWW is not responsible for ad account restrictions or bans resulting from policy violations related to the Client’s business practices.
13. SERVICE LEVEL AGREEMENT (SLA)
13.1 Business Hours
Support is available during the following hours:
- Monday through Friday: 10:00 AM – 7:00 PM IST
- Saturday: 10:00 AM – 2:00 PM IST
- Sunday and Public Holidays: Closed
13.2 Response Times
- Phone: Immediate response during business hours (for urgent matters)
- WhatsApp: 4-8 business hours
- Email: 24-48 business hours
Response times are measured during business hours only. Messages received outside business hours will be responded to on the next business day.
13.3 Support Scope
Support includes:
- Queries related to ongoing services and deliverables
- Clarifications on reports and performance
- Content approval processes
- Technical issues related to WWW-managed services
Support does not include:
- 24/7 emergency support
- Issues with Client’s hosting, domain, or third-party services not managed by WWW
- Training on how to use social media platforms or other tools
- General business consulting unrelated to the contracted services
14. INTELLECTUAL PROPERTY & CONFIDENTIALITY
14.1 Ownership
Upon full payment, the Client owns all final creative deliverables including graphics, videos, published content, and copy created specifically for the Client. The Service Provider retains ownership of:
- Underlying strategies and methodologies
- Working files and source files (unless separately agreed)
- Templates and frameworks used across multiple clients
- Proprietary tools and processes
14.2 Trademarks
WWW creates designs based on Client ideas and direction. We do not perform in-depth trademark or copyright infringement checks. The Client assumes full responsibility for ensuring their brand name, logo, and all visual assets do not infringe on existing trademarks or copyrights. The Client agrees to indemnify WWW against any claims arising from trademark or copyright infringement related to Client-approved designs.
14.3 Confidentiality
Both parties agree to keep proprietary business information, strategy documents, and login credentials strictly confidential. This includes:
- Business strategies and marketing plans
- Financial information and pricing
- Customer data and analytics
- Login credentials and access information
- Proprietary methodologies and processes
Confidentiality obligations survive the termination of this agreement.
14.4 Portfolio Rights
WWW reserves the right to display completed work in portfolios, case studies, and marketing materials unless the Client explicitly requests otherwise in writing.
15. LIMITATION OF LIABILITY
15.1 Role
Web Wonder Works LLP acts solely as a service provider for digital marketing services. We do not guarantee specific revenue figures, lead conversions, sales numbers, or business outcomes, as market conditions, competition, and numerous external factors vary and are beyond our control.
15.2 Maximum Liability
The Service Provider’s maximum liability under this agreement shall not exceed the total fees paid by the Client in the 3 months immediately preceding the claim. This limitation applies to all claims regardless of the form of action, whether in contract, tort, or otherwise.
15.3 Indemnity
The Service Provider is not liable for:
- Business losses, lost profits, or consequential damages
- Third-party platform bans or restrictions (e.g., ad account restrictions by Meta, Google, or LinkedIn)
- Issues arising from content provided or approved by the Client
- Reputation damage from third-party actions or reviews
- Loss of data from the Client’s hosting or third-party services
15.4 Third-Party Actions
We are not responsible for changes in algorithms, policies, or platform features by Google, Facebook, Instagram, LinkedIn, YouTube, or any other third-party platform. Such changes may impact campaign performance, and WWW will adapt strategies accordingly, but cannot guarantee outcomes.
15.5 Third-Party Tools and Services
The validity, reliability, and trustworthiness of any third-party tools used in service delivery (including but not limited to uptime monitoring, analytics, scheduling tools, SEO tools, social listening tools, and backup services) are dependent on those third parties. Web Wonder Works is not responsible for any failures, inaccuracies, data loss, or limitations of third-party services.
15.6 Client Actions
Any actions taken by the Client without prior written approval from Web Wonder Works—including but not limited to changes to websites, social media pages, Google My Business listings, advertising campaigns, or SEO elements—are the sole responsibility of the Client. The Service Provider is not liable for any positive or negative effects resulting from such actions.
15.7 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet outages, or third-party platform outages.
16. GOVERNING LAW & DISPUTE RESOLUTION
16.1 Jurisdiction
This Agreement is governed by the laws of India.
16.2 Dispute Resolution
In the event of any dispute arising from this agreement, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, the dispute shall be resolved through mediation before pursuing legal action.
16.3 Venue
The courts of Coimbatore, Tamil Nadu shall have exclusive jurisdiction over any disputes arising from this Agreement.
17. MISCELLANEOUS
17.1 Entire Agreement
This Agreement, together with the selected Plan specifications and any written amendments, constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements.
17.2 Amendments
This Agreement may only be amended in writing signed by both parties or through digital acceptance of updated terms.
17.3 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.4 Assignment
The Client may not assign this Agreement without WWW’s prior written consent. WWW may assign this Agreement to a successor entity in the event of a merger, acquisition, or sale of assets.
17.5 Waiver
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or the right to enforce it at a later time.
17.6 Notices
All notices under this Agreement shall be in writing and delivered via email to the addresses provided by each party. Notice is deemed received upon confirmed delivery.
18. ACCEPTANCE
BY DIGITALLY SIGNING OR CLICKING “ACCEPT,” THE CLIENT ACKNOWLEDGES THEY HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS AND THE SPECIFICS OF THEIR SELECTED PLAN.
THE CLIENT FURTHER ACKNOWLEDGES THAT THEY UNDERSTAND:
- The limitations of services as described herein
- The lack of guarantees for SEO rankings, advertising results, or business outcomes
- Their responsibilities under this Agreement
- The payment terms, including the no-refund policy
- The minimum commitment requirements and early termination fees
- The fair usage policy and its limitations
- That blog content is created with AI assistance and optimized for SEO
- That all prices are exclusive of 18% GST
THE CLIENT CONFIRMS THEY HAVE THE LEGAL AUTHORITY TO BIND THEIR BUSINESS TO THIS AGREEMENT.
