WEB WONDER WORKS LLP – SEO SERVICES TERMS OF SERVICE

Service Provider: Web Wonder Works LLP (LLPIN: ACI-7034), Coimbatore, Tamil Nadu, India

Effective Date: Date of proposal acceptance / payment


1. Agreement Overview

This Agreement governs all Search Engine Optimization (SEO) services provided by Web Wonder Works LLP (“WWW”, “Service Provider”, “We”, “Us”) to the Client (“Client”, “You”, “Your”).

By accepting an SEO proposal, making payment, or selecting a plan, the Client confirms legal authority to bind their business and agrees to all terms herein.

Available SEO Plans:

  • Basic SEO – Entry-level SEO for very small businesses
  • Starter SEO – Perfect for new businesses and start-ups
  • Essential SEO – Great for small businesses starting their SEO journey
  • Growth SEO – Ideal for growing businesses ready to scale
  • Professional SEO – Most popular for established businesses
  • Advanced SEO – For competitive markets and aggressive growth
  • Enterprise SEO – Complete market dominance solution

Services are strictly limited to what is specified in the selected plan. Any service not explicitly listed is out of scope unless agreed in writing.


2. Scope of Services

2.1 Service Inclusions

The Service Provider agrees to deliver SEO services as outlined in the selected plan, which may include:

  • Google Website SEO (keyword optimization)
  • Image SEO
  • Video SEO
  • Bing SEO
  • Local SEO (Google My Business optimization)
  • AI SEO (AI platform optimization)
  • Technical SEO
  • Backlink building
  • Local citation building
  • Competitor analysis
  • Performance reporting

2.2 Service Exclusions

The following are NOT included in any SEO plan unless explicitly stated:

  • Website design or redesign
  • Website development or coding
  • Content writing beyond specified blog posts
  • Paid advertising budgets (Google Ads, Bing Ads, etc.)
  • Social media management
  • Hosting, domain, or SSL certificates
  • Third-party tool subscriptions
  • Translation services for international SEO
  • Video production or editing
  • Photography or image creation

2.3 Platform and Third-Party Costs

All third-party costs are the Client’s responsibility, including but not limited to: premium SEO tools, paid directory listings, advertising spend, and any platform fees.


3. SEO Service Specifications

3.1 Google Website SEO

  • Keyword optimization is limited to the number specified in the selected plan
  • Keyword selection is based on WWW’s strategic analysis of search volume, competition, and relevance
  • The Client may suggest keywords, but final selection is at WWW’s discretion based on SEO viability
  • On-page optimization includes meta titles, descriptions, header tags, and content optimization for target keywords
  • Keyword counts per plan:
    • Basic: 3 keywords
    • Starter: 5 keywords
    • Essential: 10 keywords
    • Growth: 15 keywords
    • Professional: 20 keywords
    • Advanced: 25 keywords
    • Enterprise: 30 keywords

3.2 Blog Content

  • Blog posts are created with AI assistance and optimized for SEO
  • Word count is approximately 800-1200 words per post unless otherwise specified
  • Topics are selected by WWW based on keyword strategy and search potential
  • Once a blog post is written and delivered, requests for topic changes or rewrites are not permitted
  • Blog posts per plan:
    • Basic: No blog posts
    • Starter: 1 post/month
    • Essential: 2 posts/month
    • Growth: 3 posts/month
    • Professional: 5 posts/month
    • Advanced: 7 posts/month
    • Enterprise: 9 posts/month

3.3 Image SEO

  • Image optimization includes alt text, file naming, compression, and metadata optimization
  • Client must provide images or grant access to existing website images
  • WWW is not responsible for sourcing, purchasing, or creating images
  • Image optimization limits per plan:
    • Basic: Up to 5 images/month
    • Starter: Up to 10 images/month
    • Essential: Up to 20 images/month
    • Growth: Up to 40 images/month
    • Professional: Up to 50 images/month
    • Advanced: Up to 70 images/month
    • Enterprise: Up to 100 images/month

3.4 Video SEO

  • Video SEO includes title optimization, description writing, tag optimization, and thumbnail recommendations
  • Client must provide videos or grant access to existing video content
  • Video production, filming, or editing is NOT included
  • WWW optimizes videos on YouTube and/or website as applicable
  • Video optimization limits per plan:
    • Basic: 1 video/month
    • Starter: 2 videos/month
    • Essential: 3 videos/month
    • Growth: 4 videos/month
    • Professional: 5 videos/month
    • Advanced: 8 videos/month
    • Enterprise: 10 videos/month

3.5 Bing SEO

  • Bing SEO includes submission, indexing, and optimization for Microsoft Bing search engine
  • Bing Places setup included for applicable plans
  • Bing Ads support (Advanced and Enterprise plans) does not include ad spend budget
  • Service levels:
    • Basic: Basic submission only
    • Starter: Basic submission & indexing
    • Essential: Basic optimization & Places setup
    • Growth: Full optimization campaign
    • Professional: Advanced optimization + monitoring
    • Advanced: Full-scale campaign with ads support
    • Enterprise: Full management + advertising integration

3.6 Local SEO (Google My Business)

  • Includes Google Business Profile optimization, posts, and local visibility improvements
  • Client must provide access to existing GMB listing or authorize WWW to create/claim on their behalf
  • Client is responsible for GMB verification (postcard, phone, or video verification as required by Google)
  • GMB post content is created by WWW; Client may provide specific promotional information
  • Location limits and GMB posts per plan:
    • Basic: 1 location, 1 GMB post/month
    • Starter: 1 location, 2 GMB posts/month
    • Essential: 1 location, 4 GMB posts/month
    • Growth: Up to 2 locations, 5 GMB posts/month
    • Professional: Up to 2 locations, 6 GMB posts/month
    • Advanced: Up to 3 locations, 8 GMB posts/month
    • Enterprise: Unlimited locations, 10 GMB posts/month
  • Additional locations beyond plan limits will be quoted separately

3.7 AI SEO (AI Platform Optimization)

  • AI SEO optimizes content visibility on AI platforms such as ChatGPT, Google Gemini, and Perplexity
  • Includes content structuring, entity building, and FAQ optimization as per plan
  • AI platform algorithms and visibility are controlled by third parties; no guarantees on AI search appearances
  • Service levels:
    • Basic: Basic content structuring
    • Starter: Basic FAQ optimization
    • Essential: Conversational content optimization
    • Growth: Entity building & FAQ schema
    • Professional to Enterprise: Full AI platform optimization (ChatGPT, Gemini, Perplexity)

3.8 Technical SEO

  • Technical SEO includes site audits, speed optimization recommendations, crawlability improvements, and fixing technical issues
  • Implementation of technical fixes depends on website platform and access level
  • Some fixes may require third-party developer assistance at Client’s expense
  • Major structural changes or redesigns are not included
  • Service levels:
    • Basic: One-time technical SEO audit
    • Starter: Basic technical SEO audit
    • Essential: Technical SEO fixes
    • Growth: Advanced technical SEO
    • Professional: Premium technical SEO
    • Advanced: Enterprise technical SEO
    • Enterprise: Enterprise technical SEO suite
  • Backlinks are acquired through white-hat methods including guest posting, outreach, and directory submissions
  • WWW does not guarantee the permanence of backlinks; third-party sites may remove content at their discretion
  • WWW is not responsible for penalties if linking sites are later flagged by search engines
  • Link quality is based on availability and industry relevance
  • WWW does not engage in link schemes, PBNs, or paid link farms
  • Backlinks per plan:
    • Basic: No backlinks included
    • Starter: 1-2 backlinks/month
    • Essential: 3-5 backlinks/month
    • Growth: 4-6 quality backlinks/month
    • Professional: 6-8 high-quality backlinks/month
    • Advanced: 7-9 premium backlinks/month
    • Enterprise: 10-12 premium backlinks/month

3.10 Local Citations

  • Citations are submitted to third-party directories and business listing platforms
  • Approval and live status depend on third-party directories; WWW does not control publication
  • WWW is not responsible for directories that remove listings or cease operations
  • Duplicate citation cleanup is not included unless explicitly agreed
  • Citations per plan:
    • Basic & Starter: No citations included
    • Essential: 1-2 citations/month
    • Growth: 3-5 citations/month
    • Professional: 4-6 citations/month
    • Advanced: 5-7 citations/month
    • Enterprise: 7-9 citations/month

3.11 Schema Markup Implementation

  • Schema markup is included in Advanced and Enterprise plans
  • Implementation depends on website platform capabilities
  • Rich results and featured snippets are not guaranteed; controlled by search engines

3.12 International SEO

  • International SEO is available only in the Enterprise plan
  • Client must specify target countries and languages
  • Hreflang implementation depends on website platform
  • Translation services are NOT included; Client must provide translated content

4. SEO Disclaimers and Limitations

4.1 No Ranking Guarantees

WWW does not guarantee any specific search engine ranking positions. No legitimate SEO provider can guarantee rankings, as search engine algorithms are:

  • Controlled entirely by third parties (Google, Bing, etc.)
  • Subject to change without notice
  • Influenced by hundreds of factors beyond any SEO provider’s control

Any company claiming to guarantee specific rankings is likely engaging in misleading practices.

4.2 No Traffic or Lead Guarantees

WWW does not guarantee:

  • Specific traffic numbers or increases
  • Lead generation or conversion rates
  • Sales, revenue, or ROI
  • Business outcomes of any kind

SEO improves visibility; converting visitors into customers depends on the Client’s business, offerings, website quality, and market conditions.

4.3 Ranking Fluctuations

SEO rankings naturally fluctuate due to:

  • Search engine algorithm updates
  • Competitor activities and improvements
  • Market and seasonal changes
  • New content entering the index
  • User behavior pattern changes

Such fluctuations are normal and expected. Rankings may go up or down at any time due to factors outside WWW’s control.

4.4 Timeline for Results

SEO is a long-term strategy. The Client acknowledges:

  • Significant organic results typically require 5-8 months of consistent effort
  • Highly competitive industries may require longer timeframes
  • Results vary based on industry, location, competition, and starting point
  • There is no guaranteed timeline for achieving specific results
  • Early months focus on foundation building, which may not show immediate ranking improvements

4.5 Methodology

WWW exclusively employs white-hat SEO techniques that comply with search engine guidelines. WWW does not engage in:

  • Black-hat SEO practices
  • Negative SEO against competitors
  • Link schemes or paid link farms
  • Keyword stuffing or hidden text
  • Cloaking or deceptive practices
  • Any practices that violate search engine terms of service

4.6 Website Limitations

SEO optimization may be limited by:

  • Static HTML websites with restricted code access
  • Websites built by third-party vendors with limited access
  • Poor hosting environments affecting speed and uptime
  • Websites with fundamental structural issues
  • Platforms that do not support required SEO elements

WWW is not responsible for ranking limitations caused by the underlying website code, structure, hosting, or platform restrictions.

4.7 Third-Party Platform Changes

WWW is not responsible for:

  • Google algorithm updates affecting rankings
  • Bing algorithm or policy changes
  • Changes to Google My Business features or policies
  • AI platform (ChatGPT, Gemini, Perplexity) algorithm changes
  • Any third-party platform updates that impact SEO performance

WWW will adapt strategies to algorithm changes, but cannot guarantee outcomes.

4.8 Client Actions

Any action taken by the Client without written approval from WWW that affects SEO performance is 100% the Client’s responsibility, including but not limited to:

  • Website changes or redesigns
  • Content modifications or deletions
  • URL structure changes
  • Hosting or domain changes
  • Installing plugins that affect SEO
  • Disavowing backlinks
  • Modifying robots.txt or sitemap
  • Changing page titles or meta descriptions

WWW is not responsible for any positive or negative effects resulting from unauthorized Client actions.


5. Reporting and Communication

5.1 Performance Reports

Reporting frequency varies by plan:

  • Basic: Quarterly performance report
  • Starter to Essential: Monthly performance report
  • Growth: Bi-weekly progress updates
  • Professional: Weekly progress reports + monthly strategy calls
  • Advanced: Bi-weekly strategy calls + priority support
  • Enterprise: Weekly strategy calls + custom analytics dashboard + VIP support

5.2 Report Contents

Reports include (as applicable):

  • Keyword ranking positions and changes
  • Organic traffic metrics
  • Backlinks acquired
  • Technical issues identified and resolved
  • GMB insights and local visibility
  • Competitor analysis findings
  • Recommendations and next steps

5.3 Report Limitations

  • Reports are based on third-party tools; absolute accuracy is not guaranteed
  • Search console and analytics data are dependent on proper tracking setup
  • Rankings may vary based on location, device, and personalization

5.4 Strategy Calls

For plans including strategy calls:

  • Calls are scheduled during business hours
  • Calls are typically 30-45 minutes in duration
  • The Client should designate a consistent point of contact for calls
  • Missed calls without 24-hour notice may count as completed for that period

5.5 Support Levels

  • Standard Support: Email and WhatsApp during business hours
  • Priority Support (Advanced): Faster response times, dedicated attention
  • VIP Support (Enterprise): Phone, chat, and email with fastest response times

6. Payment Terms

6.1 Pricing and Taxes

All prices are exclusive of GST. Goods and Services Tax (GST) at 18% will be charged additionally on all invoices.

6.2 Payment Schedule

100% upfront payment is required before work commences. No SEO work will begin until full payment is received and confirmed.

6.3 Non-Refundable Payments

All payments are non-refundable. Due to the immediate allocation of resources, research, and effort upon payment, refunds are not provided under any circumstances.

6.4 Recurring Billing

For ongoing monthly SEO services:

  • Invoices are generated in advance for each month
  • Payment must be received before the service month begins
  • Services are paused if payment is not received by the due date

6.5 Late Payment

  • 5-day grace period from the due date
  • 5% late fee added for every 5-day period of delay after grace period
  • Services suspended if payment is not received within 15 days
  • Suspension may negatively impact SEO momentum and results

7. Term, Commitment, and Termination

7.1 Trial Period

The first month of service is a mutual Trial Period. Either party may terminate at the end of Month 1 without penalty, provided written notice is given before the next billing cycle.

7.2 Minimum Commitment

If service continues into the second month, the Client agrees to a minimum commitment of 3 months. This commitment is essential because:

  • SEO requires consistent effort over time to yield results
  • Strategies are planned with long-term goals in mind
  • Stopping mid-strategy can negate work already completed
  • Search engines reward consistent, sustained optimization efforts

7.3 Early Termination

If the Client terminates during the commitment period:

  • An Early Termination Fee of 20% of the remaining commitment value applies
  • Example: Terminating after Month 2 of a 3-month commitment at ₹19,500/month = 20% × ₹19,500 = ₹3,900 fee

7.4 Post-Commitment Cancellation

After completing the minimum commitment:

  • Service continues on a month-to-month basis
  • Client may cancel with 30 days written notice
  • No early termination fees apply after commitment is fulfilled

7.5 Service Pause

Due to the ongoing nature of SEO:

  • Service pause requests require written WWW approval
  • Pausing SEO can negatively impact rankings and momentum
  • If approved, pause terms and duration will be specified in writing
  • Paused periods do not count toward minimum commitment
  • WWW reserves the right to deny pause requests

7.6 Termination by WWW

WWW may terminate services with 15 days notice if:

  • Client fails to provide required access or information
  • Client’s business involves illegal activities
  • Client repeatedly violates agreement terms
  • Client takes unauthorized actions that sabotage SEO efforts

8. Client Responsibilities

8.1 Access Provision

The Client must provide access to:

  • Website backend/CMS (WordPress, etc.) within 48 hours of signing
  • Google Search Console and Google Analytics
  • Google Business Profile
  • Bing Webmaster Tools
  • Any other platforms required for SEO work

Delays in providing access delay service commencement and do not extend timelines.

8.2 Content and Information

The Client must provide:

  • Accurate business information (name, address, phone, hours, services)
  • Images and videos for optimization (Client retains copyright responsibility)
  • Information for blog posts and content creation when requested
  • Timely responses to questions about products, services, or business details

8.3 Approvals

  • Respond to approval requests within 48 hours
  • Failure to respond may result in WWW proceeding with planned work
  • Delayed approvals may affect monthly deliverable schedules

8.4 Single Point of Contact

Designate one decision-maker to:

  • Consolidate feedback from stakeholders
  • Provide timely approvals
  • Communicate with WWW on behalf of the business

8.5 No Unauthorized Changes

The Client agrees to:

  • Consult WWW before making website changes that may affect SEO
  • Not modify meta titles, descriptions, or optimized content without approval
  • Not disavow backlinks or modify technical SEO settings without consultation
  • Inform WWW of any planned website redesigns, migrations, or hosting changes

8.6 Realistic Expectations

The Client acknowledges:

  • SEO is a long-term investment requiring patience
  • Results cannot be guaranteed or predicted with certainty
  • Rankings fluctuate naturally and are not within WWW’s complete control
  • Competitor actions and algorithm updates affect outcomes

9. Intellectual Property

9.1 Ownership

Upon full payment:

  • Client owns all content created specifically for them (blog posts, GMB posts, meta descriptions)
  • WWW retains ownership of strategies, methodologies, templates, and internal processes
  • Backlinks and citations are placed on third-party websites
  • WWW does not own or control these third-party sites
  • Removal or modification by third parties is outside WWW’s control

10. Limitation of Liability

10.1 Service Provider Role

WWW acts solely as an SEO service provider. WWW does not guarantee business outcomes, revenue, leads, or sales.

10.2 Maximum Liability

WWW’s maximum liability shall not exceed the total fees paid by the Client in the 3 months immediately preceding any claim.

10.3 Not Liable For

WWW is not liable for:

  • Ranking drops due to algorithm updates
  • Traffic decreases due to market changes or competition
  • Business losses or lost revenue
  • Third-party platform penalties or account restrictions
  • Issues arising from Client-approved content
  • Consequences of unauthorized Client actions
  • Third-party website actions (removing backlinks, citations, etc.)
  • Hosting, server, or website downtime issues

10.4 Third-Party Tools

WWW uses third-party tools for tracking, analysis, and reporting. The accuracy and reliability of these tools are dependent on the third parties. WWW is not responsible for tool failures, inaccuracies, or limitations.

10.5 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, internet outages, or platform outages.


11. Confidentiality

Both parties agree to keep confidential:

  • Business strategies and SEO plans
  • Login credentials and access information
  • Analytics data and performance metrics
  • Proprietary methodologies and processes

Confidentiality obligations survive termination of this agreement.


12. Governing Law and Disputes

12.1 Jurisdiction

This Agreement is governed by the laws of India.

12.2 Dispute Resolution

Parties agree to attempt good-faith resolution before legal action.

12.3 Venue

Courts of Coimbatore, Tamil Nadu have exclusive jurisdiction over disputes arising from this Agreement.


13. Support Hours

  • Monday – Friday: 10:00 AM – 7:00 PM IST
  • Saturday: 10:00 AM – 2:00 PM IST
  • Sunday & Holidays: Closed

Response Times:

  • Phone: Immediate (during business hours)
  • WhatsApp: 4-8 business hours
  • Email: 24-48 business hours

Enterprise plan clients receive VIP priority support across all channels.


14. Acceptance

BY ACCEPTING THIS PROPOSAL, MAKING PAYMENT, OR SELECTING A PLAN, THE CLIENT ACKNOWLEDGES:

  • They have read, understood, and agree to these Terms of Service
  • They understand SEO is a long-term strategy with no guaranteed results
  • They understand all prices are exclusive of 18% GST
  • They understand all payments are non-refundable
  • They understand the minimum commitment requirements
  • They accept the limitations and disclaimers stated herein
  • They have the legal authority to bind their business to this Agreement
