Web Design – ToS Service Agreement

WEB WONDER WORKS LLP – WEB DESIGN TERMS OF SERVICE

Service Provider: Web Wonder Works LLP (LLPIN: ACI-7034), Coimbatore, Tamil Nadu, India

Effective Date: Date of proposal acceptance / payment


1. Agreement Overview

This Agreement governs all Web Design and Development services provided by Web Wonder Works LLP (“WWW”, “Service Provider”, “We”, “Us”) to the Client (“Client”, “You”, “Your”).

By accepting a Web Design proposal, making payment, or selecting a package, the Client confirms legal authority to bind their business and agrees to all terms herein.

Available Web Design Packages:

  • Starter – Perfect for freelancers, personal brands & small startups (1 Page)
  • Standard – Ideal for small businesses needing a complete website (3-5 Pages)
  • Premium – Best for growing businesses needing comprehensive presence (5-8 Pages)
  • Elite – For established businesses requiring extensive page count (8-11 Pages)
  • Ultimate – Complete business solution with e-commerce & custom content (11-13 Pages)
  • Enterprise – Full-scale enterprise solution with advanced features (13-16 Pages)

Services are strictly limited to what is specified in the selected package. Any service not explicitly listed is out of scope unless agreed in writing with additional charges.


2. Payment Terms

2.1 100% Upfront Payment

Full payment (100%) is required upfront before any work commences. This is a strict requirement for all web design projects. No design work, development, or project activities will begin until complete payment is received and confirmed.

This policy exists because:

  • Web design requires immediate allocation of designer and developer resources
  • Research, planning, and creative work begins upon project initiation
  • Third-party resources and tools may need to be procured
  • Project slots are reserved upon payment confirmation

2.2 Non-Refundable Payments

All payments made to Web Wonder Works LLP are non-refundable. Due to the creative nature of web design work and the immediate investment of time, resources, and effort upon payment, refunds are not provided under any circumstances.

The Client acknowledges and accepts this policy by making payment.

2.3 Pricing and Taxes

All prices are exclusive of GST. Goods and Services Tax (GST) at 18% will be charged additionally on all invoices where applicable.

3.3 Page Structure

Standard pages included in multi-page packages typically consist of:

  • Homepage: Header with navigation, hero section, purpose/services overview, call-to-action sections
  • About Us Page: Company details, founder’s message, team information, company story
  • Services/Products Pages: Detailed information about offerings
  • Contact Page: Contact details, contact form, Google Maps location
  • Legal Pages: Privacy Policy and Terms of Service (template-based)

Specific page requirements will be confirmed during the requirement gathering process.

3.4 Technology Stack

Websites are built using:

  • CMS: WordPress (latest stable version)
  • Page Builders/Frameworks: GeneratePress, Elementor, Divi, and/or Gutenberg block editor
  • Security: SSL Certificate via Let’s Encrypt or Cloudflare
  • Analytics: Google Analytics, Google Search Console, Bing Webmaster Tools

The specific theme and page builder used will be determined by WWW based on project requirements and best practices.


4. Service Exclusions

The following are NOT included in web design packages unless explicitly stated or purchased as add-ons:

4.1 Not Included in Any Package

  • Domain name registration (available as add-on)
  • Web hosting (available as add-on)
  • Professional email setup (available as add-on)
  • Logo design (available as add-on, or Client must provide)
  • Photography or videography
  • Stock image purchases (copyright-free images used where available)
  • Content writing beyond specified word limits
  • Translation services
  • Custom coding or programming beyond standard WordPress functionality
  • Mobile app development
  • Custom plugin development
  • Third-party software licenses or subscriptions
  • Payment gateway setup fees charged by payment providers
  • Ongoing maintenance after free support period (available as add-on)
  • Marketing or advertising services
  • Social media management
  • Search engine optimization (ongoing SEO services)

4.2 Premium Domain Names

  • Only readily available standard domain names are included when domain add-on is purchased
  • Premium domains, auction domains, or domains with additional registry fees are not included
  • If the desired domain is unavailable, alternatives will be suggested

4.3 Complex Integrations

  • Complex third-party API integrations beyond standard scope may require additional charges
  • Custom CRM integrations, ERP connections, or specialized software integrations are quoted separately
  • Payment gateway integration includes standard setup; custom configurations may incur additional fees

5. Domain, Hosting, and Email Services

5.1 Domain Registration (Add-on Service)

  • Domains are registered with .in or .com extension as per Client preference and availability
  • Domain is registered in the Client’s name and remains Client’s property
  • If the desired domain is already registered by a third party, the Client must either:
    • Choose an alternative available domain, OR
    • Provide access to update DNS settings if they own the existing domain
  • Premium or auction domains are not included; additional costs will be quoted if required
  • Domain registration is for one (1) year; annual renewal is Client’s responsibility

5.2 Web Hosting (Add-on Service)

WWW provides hosting through Hostinger, a leading hosting provider with over 2,000,000+ customers.

Important: We do not use cheap, unreliable hosting or place websites on overcrowded shared servers. Each Client receives their own dedicated hosting account.

5.3 Professional Email (Add-on Service)

  • Professional email addresses are set up through Zoho Mail premium service
  • Email is configured with the Client’s domain (e.g., [email protected])
  • Base package includes setup for the specified number of mailboxes
  • Additional email addresses beyond the package will incur extra charges
  • Email service is for one (1) year; annual renewal is Client’s responsibility

5.4 Renewals

After the first year, the Client is responsible for renewing:

  • Domain registration at prevailing registrar rates
  • Web hosting at prevailing hosting provider rates
  • Professional email at prevailing Zoho Mail rates
  • Security services (Malware Guard) at prevailing rates
  • Any other subscription-based services

Renewal Options:

  1. Self-Renewal: Client renews directly with the respective service providers using their account credentials
  2. WWW-Managed Renewal: Client pays WWW the relevant renewal fees plus a management fee, and WWW handles renewal on Client’s behalf

WWW will send renewal reminders, but the Client is ultimately responsible for ensuring timely renewals. WWW is not liable for service interruptions, website downtime, or data loss due to expired domains, hosting, or other services.

5.5 Account Ownership

  • All accounts (domain, hosting, email) are created in the Client’s name
  • Login credentials are provided to the Client upon full payment and project completion
  • The Client owns all accounts and can manage them independently
  • WWW recommends the Client securely store all login credentials

6. Project Timeline

6.1 Standard Timeline

Total project completion timeframe: Minimum 21 days to Maximum 34 days from project commencement.

Timeline is indicative and may vary based on project complexity and package selected.

6.2 Project Commencement

The project timeline begins ONLY when BOTH conditions are met:

  1. Full payment (100%) is received and confirmed
  2. All required content and information is submitted by the Client

If either condition is not met, the project start date is delayed accordingly. WWW is not responsible for delays caused by pending payment or pending content submission.

6.3 Requirement Gathering Process

  • WWW will provide the Client with an online form containing necessary questions and options for media uploads
  • The Client is required to complete and submit this form accurately and completely
  • Incomplete submissions will delay the project
  • The form captures: business information, design preferences, content, images, branding elements, and specific requirements

6.4 Timeline Extensions

The project timeline may be extended due to:

  • Delayed content submission by the Client
  • Delayed feedback or approvals from the Client
  • Requests for changes beyond the agreed scope
  • Additional revision requests beyond the included limit
  • Force majeure events

WWW will communicate any timeline changes to the Client promptly.


7. Client Responsibilities

7.1 Content Provision

The Client is required to provide all necessary content and materials, including:

  • Text Content: Company information, service/product descriptions, about us content, team bios, and all written content for pages
  • Logo: High-resolution logo files (PNG, SVG, or vector format preferred)
  • Images: Product photos, team photos, office photos, and any specific images required
  • Videos: Any videos to be embedded on the website
  • Brand Assets: Brand colors (hex codes), fonts (if specific), brand guidelines (if available)
  • Business Information: Contact details, address, phone numbers, email addresses, social media links, business hours
  • Legal Information: Any specific legal disclaimers or compliance requirements

7.2 Content Submission Deadline

  • All content must be submitted within 7 days of payment confirmation
  • Delayed content submission directly delays project timeline
  • If content is not provided within 14 days of payment, WWW reserves the right to:
    • Use placeholder content and copyright-free images to proceed
    • Charge additional fees for content replacement later
    • Adjust the project timeline accordingly

7.3 Content Quality and Ownership

  • Client is solely responsible for the accuracy of all provided content
  • Client must own or have legal rights to use all provided images, videos, and content
  • WWW assumes no liability for copyright infringement arising from Client-provided materials
  • WWW will use copyright-free resources (stock images, placeholder text) where Client content is not provided

7.4 Timely Feedback and Approvals

  • Client must respond to design concepts within 48 hours
  • Client must provide revision feedback within 48 hours
  • Client must approve final design within 48 hours of presentation
  • Delayed approvals extend the project timeline
  • If no response is received within 5 business days, WWW may proceed with the current version

7.5 Single Point of Contact

The Client must designate one decision-maker who:

  • Has authority to approve designs and content
  • Consolidates feedback from all stakeholders before submission
  • Provides timely responses and approvals
  • Is available for communication during the project

Multiple or conflicting feedback from different stakeholders may cause delays and confusion.

7.6 Access and Credentials

If required, the Client must provide:

  • Access to existing domain registrar (for DNS updates)
  • Access to existing hosting (if applicable)
  • Login credentials for any existing website or platforms
  • Access to Google Analytics, Search Console (if existing accounts)

8. Design Concepts and Revisions

8.1 Design Concepts

  • All packages include 2 Design Concepts for the homepage
  • Design concepts are visual mockups showing layout, color scheme, and overall design direction
  • Client selects one concept to proceed with development
  • The selected concept forms the basis for all subsequent pages
  • Additional design concepts beyond the included 2 will be charged separately

8.2 Revisions

  • All packages include 2 Revisions during the design phase
  • A “revision” is defined as a round of feedback addressing multiple points submitted together
  • Revision requests must be submitted in writing (email or project management system)
  • Revisions apply to design elements such as: layout adjustments, color changes, font changes, section rearrangements, and element modifications within the agreed scope

8.3 What Constitutes a Revision

Included in Revisions:

  • Adjusting colors, fonts, or spacing
  • Rearranging existing sections
  • Modifying text content within existing structure
  • Changing images (Client-provided replacements)
  • Minor layout adjustments

NOT Included in Revisions (Charged Separately):

  • Complete redesign or new design direction
  • Adding new pages beyond the package scope
  • Adding new features or functionality
  • Significant structural changes after development begins
  • Changes requested after project completion/launch

8.4 Additional Revisions

  • Revisions beyond the included 2 rounds will be charged at ₹1,500 per revision round
  • Major changes or redesigns will be quoted separately based on scope
  • WWW will notify the Client before proceeding with chargeable revisions

8.5 Post-Completion Changes

  • Changes requested after website launch are not included in the original project scope
  • Post-launch modifications will be quoted separately
  • Minor text/image updates during the free support period may be accommodated at WWW’s discretion
  • Ongoing changes require a Website Maintenance package or hourly/project-based billing

9. E-Commerce Terms (Ultimate and Enterprise Packages)

9.1 E-Commerce Functionality

For packages including e-commerce:

  • Ultimate Package: Up to 10 products
  • Enterprise Package: Up to 20 products

E-commerce setup includes:

  • WooCommerce installation and configuration
  • Product listing (Client provides product details, images, pricing)
  • Basic payment gateway integration
  • Shopping cart functionality
  • Order management setup
  • Basic shipping configuration

9.2 E-Commerce Exclusions

The following are NOT included in e-commerce packages:

  • Product photography
  • Product description writing (Client must provide)
  • Inventory management systems
  • Complex shipping calculations or integrations
  • Multi-currency setup
  • Subscription/recurring payment systems
  • Marketplace integrations (Amazon, Flipkart, etc.)
  • Custom checkout workflows
  • Advanced tax calculations
  • POS system integration

9.3 Payment Gateway

  • Basic payment gateway integration is included (Razorpay, PayU, or similar)
  • Payment gateway account setup and approval is the Client’s responsibility
  • Transaction fees charged by payment gateways are Client’s responsibility
  • WWW is not responsible for payment gateway approval, holds, or disputes

9.4 Product Setup

  • Client must provide all product information: names, descriptions, prices, images, categories, variations
  • Products beyond the package limit will be charged at ₹150 per product
  • Bulk product upload (CSV import) is available for additional fees if required

10. Support and Maintenance

10.1 Free Support Period

Each package includes a free support period after website launch:

10.3 Support Exclusions

The following are NOT covered under free support:

  • New feature additions
  • New page creation
  • Design changes or modifications
  • Content updates beyond minor corrections
  • Issues caused by Client’s actions or third-party plugins
  • Hosting, domain, or email issues (unless WWW-managed)
  • Training beyond basic WordPress orientation
  • SEO services or marketing support

10.4 Support Hours

Support is available during business hours:

  • Monday – Friday: 10:00 AM – 7:00 PM IST
  • Saturday: 10:00 AM – 2:00 PM IST
  • Sunday & Holidays: Closed

Enterprise package clients receive Priority Support with video/chat call options.

10.5 Website Maintenance (Add-on Service)

After the free support period, ongoing maintenance is available as an annual add-on (₹4,165/year) which includes:

  • Weekly website backups
  • Theme and plugin updates
  • Error handling and troubleshooting
  • Domain and hosting renewal management
  • Website uptime monitoring
  • Security monitoring

10.6 Post-Support Period

After the free support period expires:

  • Support requests will be quoted on a per-request or hourly basis
  • Website Maintenance package can be purchased for ongoing support
  • Emergency support may be available at premium rates

11. Ownership and Intellectual Property

11.1 Website Ownership

Upon full payment and project completion, the Client owns:

  • The completed website and all its pages
  • All content created specifically for the Client
  • All graphics and images created for the project
  • The domain name (if purchased through WWW)
  • The hosting account (if purchased through WWW)

11.2 WWW Retains

WWW retains ownership of:

  • Underlying code frameworks and templates used across multiple clients
  • Design methodologies and processes
  • Working files and source files (PSD, AI, etc.) unless explicitly agreed
  • Generic plugins and tools used in development

11.3 Third-Party Components

The website may include third-party components:

  • WordPress CMS (open source, GPL licensed)
  • Themes and page builders (licensed per their terms)
  • Plugins (licensed per their respective terms)
  • Stock images (licensed per stock provider terms)

The Client agrees to comply with all third-party license terms.

11.4 Logo and Brand Assets

  • If Logo Design add-on is purchased, the Client owns the final approved logo
  • Logo source files (AI, PSD) are provided upon request
  • WWW does not conduct trademark searches; Client is responsible for trademark compliance

11.5 Portfolio Rights

WWW reserves the right to:

  • Display the completed website in portfolios and case studies
  • Reference the project in marketing materials
  • Include a small “Designed by Web Wonder Works” credit in the website footer

The Client may request removal of portfolio usage or footer credit in writing.


12. Client Integrity and Liability

12.1 Service Provider Role

Web Wonder Works LLP operates with the highest level of integrity and professionalism, focusing solely on providing web design and development services. Our role is strictly limited to delivering digital work-related services as outlined in this agreement.

12.2 Client Responsibility

The Client retains full responsibility for:

  • All content published on the website
  • The accuracy of business information displayed
  • Compliance with applicable laws and regulations
  • E-commerce transactions and customer disputes
  • Products and services offered through the website
  • Customer data collection and privacy compliance (GDPR, etc.)
  • Business operations conducted through the website

12.3 Limitation of Liability

Web Wonder Works LLP:

  • Is not responsible for the actions, decisions, or business practices of clients
  • Shall not be made a party to any dispute, claim, or legal action arising from the client’s business operations, content, or website usage
  • Bears no liability for how the Client utilizes the delivered website
  • Is not liable for business outcomes, revenue, losses, or damages
  • Is not responsible for third-party actions affecting the website (hacking, platform changes, etc.)

12.4 Maximum Liability

WWW’s maximum liability shall not exceed the total fees paid by the Client for the web design project.

12.5 Indemnification

The Client agrees to indemnify and hold harmless Web Wonder Works LLP, its directors, employees, and associates from any claims, damages, losses, or expenses arising from:

  • Content published on the Client’s website
  • Products or services sold through the website
  • Client’s business operations
  • Copyright or trademark infringement from Client-provided materials
  • Violation of laws or regulations by the Client

13. Disclaimers and Limitations

13.1 No Business Guarantees

WWW does not guarantee:

  • Website traffic or visitor numbers
  • Search engine rankings
  • Lead generation or sales
  • Business revenue or ROI
  • Conversion rates

The website is a tool; business success depends on many factors beyond website design.

13.2 Third-Party Services

WWW is not responsible for:

  • Hosting provider downtime or issues
  • Domain registrar problems
  • Email service interruptions
  • Payment gateway failures or disputes
  • Third-party plugin bugs or security issues
  • Changes to third-party platform policies (Google, social media, etc.)

13.3 Browser and Device Compatibility

  • Websites are tested on major modern browsers (Chrome, Firefox, Safari, Edge)
  • Websites are responsive on standard devices (desktop, tablet, mobile)
  • Compatibility with legacy browsers (Internet Explorer) is not guaranteed
  • Future browser updates may affect display; ongoing maintenance recommended

13.4 Security

  • Basic security measures are implemented (SSL, security plugins)
  • No website is 100% immune to hacking or security breaches
  • Advanced security requires Malware Guard add-on or additional measures
  • Client is responsible for maintaining strong passwords and secure practices

13.5 Backups

  • Backups are included based on hosting plan selected
  • WWW is not liable for data loss due to backup failures
  • Client is strongly advised to maintain independent backups

14. Project Cancellation

14.1 Cancellation by Client

If the Client wishes to cancel the project after payment:

  • All payments are non-refundable
  • Work completed up to cancellation point remains WWW’s property
  • Partial work will not be delivered unless separately negotiated
  • Any third-party purchases made (domain, hosting) may be transferred to Client

14.2 Cancellation by WWW

WWW reserves the right to cancel the project if:

  • Client fails to provide required content within 30 days of payment
  • Client becomes unresponsive for more than 14 consecutive days
  • Client’s business is found to involve illegal activities
  • Client repeatedly violates agreement terms
  • Continued work is made untenable by Client conduct

In case of WWW-initiated cancellation:

  • Partial refund may be provided at WWW’s discretion based on work completed
  • Any completed work up to cancellation will be assessed for potential delivery

14.3 Project Abandonment

If the Client abandons the project (no communication for 30+ days):

  • Project is considered cancelled
  • No refund is provided
  • WWW may reallocate resources to other projects
  • Resumption of abandoned projects may require new quotation

15. Governing Law and Disputes

15.1 Jurisdiction

This Agreement is governed by the laws of India.

15.2 Dispute Resolution

In the event of any dispute:

  1. Parties agree to first attempt resolution through good-faith communication
  2. If unresolved, mediation will be attempted before legal action
  3. Legal proceedings shall be conducted in accordance with Indian law

15.3 Venue

The courts of Coimbatore, Tamil Nadu shall have exclusive jurisdiction over any disputes arising from this Agreement.


16. Communication

16.1 Business Hours

  • Monday – Friday: 10:00 AM – 7:00 PM IST
  • Saturday: 10:00 AM – 2:00 PM IST
  • Sunday & Holidays: Closed

16.2 Response Times

  • Phone: Immediate (during business hours)
  • WhatsApp: 4-8 business hours
  • Email: 24-48 business hours

16.3 Project Communication

  • Primary communication via email and WhatsApp
  • Design reviews shared via email or project links
  • All approvals must be confirmed in writing (email)

17. Miscellaneous

17.1 Entire Agreement

This Agreement, together with the accepted proposal and any written amendments, constitutes the entire agreement between the parties.

17.2 Amendments

Changes to this agreement must be agreed in writing by both parties.

17.3 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

17.4 Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control (natural disasters, internet outages, pandemics, etc.).

17.5 Assignment

The Client may not assign this agreement without WWW’s written consent.


18. Acceptance

BY ACCEPTING THIS PROPOSAL, MAKING PAYMENT, OR PROCEEDING WITH THE PROJECT, THE CLIENT ACKNOWLEDGES:

  • They have read, understood, and agree to these Terms of Service
  • 100% upfront payment is required before work begins
  • All payments are non-refundable
  • Project timeline begins only after payment AND content submission
  • Design concepts and revisions are limited as per selected package
  • They are responsible for providing all content, images, and business information
  • Hosting, domain, and email are optional add-ons with yearly renewal responsibilities
  • Post-completion changes are subject to additional charges
  • They have the legal authority to bind their business to this Agreement
